These Terms of Service ("Terms") constitute a legally binding agreement between you and Xonib Software Solutions ("we," "us," or "our"). By accessing or using our website, services, or any related content, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our services.

2. Description of Services

Xonib Software Solutions provides technology solutions including:

  • Web development and design
  • Mobile application development
  • Cloud solutions and hosting
  • Database design and management
  • Cybersecurity services
  • Digital marketing solutions
  • Technical consulting
  • Ongoing support and maintenance

3. User Responsibilities

When using our services, you agree to:

  • Comply with all applicable laws and regulations
  • Respect intellectual property rights
  • Not use services for illegal or harmful purposes
  • Not attempt to breach security measures

  • Provide truthful and accurate information
  • Keep your contact information up to date
  • Notify us of any changes that may affect our services
  • Maintain confidentiality of any login credentials

  • Respond promptly to our requests for information
  • Provide necessary access and resources for project completion
  • Review and approve deliverables in a timely manner
  • Communicate any concerns or changes promptly

4. Payment Terms

Project-Based Work
  • 50% upfront payment required
  • Remaining 50% due upon completion
  • Payment terms: Net 30 days
  • Late fees: 1.5% per month
Ongoing Services
  • Monthly billing in advance
  • Payment due within 15 days
  • Automatic renewal unless cancelled
  • 30-day cancellation notice required
Important: Services may be suspended for non-payment after 30 days past due.

5. Intellectual Property

Client Ownership

Upon full payment, clients own all custom code, designs, and content created specifically for their project.

Our Ownership

We retain rights to our methodologies, tools, frameworks, and any pre-existing intellectual property.

Third-Party

Some projects may use third-party libraries or services subject to their own licensing terms.

Portfolio Rights

We may showcase completed work in our portfolio unless otherwise agreed in writing.

6. Confidentiality

We understand the importance of protecting your confidential information:

7. Service Level and Support

8. Limitations of Liability

Important Legal Notice

To the fullest extent permitted by law, Xonib Software Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.

9. Termination

By You
  • 30-day written notice for ongoing services
  • Immediate termination with cause
  • Pay for work completed to date
  • Return of your data and materials
By Us
  • 30-day notice for convenience
  • Immediate termination for breach
  • Non-payment after 30 days
  • Violation of these terms

10. Dispute Resolution

We prefer to resolve disputes amicably:

  1. Direct Communication: Contact us directly to discuss the issue
  2. Mediation: If needed, we'll engage in good-faith mediation
  3. Arbitration: Binding arbitration as a last resort
  4. Governing Law: These terms are governed by Ugandan law

11. Changes to Terms

We may update these terms from time to time. Changes will be communicated through:
